1. Scope
These conditions govern offers, orders and deliveries between Manufakture and its customers, unless otherwise agreed in writing.
2. Orders
Orders are binding once accepted and confirmed in writing. Catalogue and website information is indicative and not contractually binding until confirmed.
3. Prices
Prices are quoted per the agreed commercial terms, exclusive of applicable taxes unless stated. Define your Incoterms, currency and validity period here.
4. Delivery
Delivery dates are those stated in the order confirmation. Set out your policy on delays, part-shipments and transfer of risk.
5. Payment
State your payment terms, accepted methods, and consequences of late payment.
6. Retention of title
State whether delivered goods remain your property until full payment is received.
7. Warranty
Define your warranty period and scope, the claims process, and exclusions such as wear, misuse and force majeure.
8. Tooling & intellectual property
Clarify ownership of tooling, drawings and any intellectual property arising from bespoke work.
9. Liability
Set out limitations of liability consistent with applicable law.
10. Governing law & jurisdiction
Specify the governing law and the courts having jurisdiction — typically your place of business in India.
